General Conditions of Sale and Delivery

1. Preamble

These general terms and conditions of sale and delivery apply to all our contracts, deliveries and other services, unless otherwise expressly agreed in writing. Other terms and conditions are not recognized by us and are therefore invalid even if they were not explicitly contradicted by us. However, for business with consumers within the meaning of § 1 Abs.1Z.2 of the Consumer Protection Act, our terms and conditions apply only to the extent that they do not contradict the mandatory provisions of this Act. The contract language is German.

2. Offers and conclusion of contract
Our offers are subject to change, prior sale is reserved. Changes or additions to the contract are only legally effective if they are confirmed by us in writing. 

3. Prices
The prices apply to deliveries ex works, without packaging and loading. If the calculation bases change, we reserve the right to adjust prices. Errors and other errors in offers, order confirmations or invoices can be corrected by us at any time.

4. Packaging
The packaging is done in a commercial way and will not be taken back by us.

5. Delivery time and transfer of risk
Specified delivery times are adhered to by us as far as possible, but are not binding due to lack of special agreement. Partial and pre-deliveries are permitted. The risk passes to the buyer at the latest with the dispatch ex works, this also with dispatch at the same place as well as partial deliveries and if the delivery or the installation was taken over by us.

6. Payment
Payments must be made within the agreed payment period. The invoice date and payment receipt are decisive for the calculation of the period. We are free to refuse payment by bill of exchange or check. Such securities will always be accepted for payment only and will be credited subject to redemption. Discount and collection charges are to be remunerated promptly. In case of default of payment, we provide interest of 1% p.m. at our discretion. or 3% above the discount rate of the Austrian National Bank.
Private Customers: Payments are made exclusively by credit card payment (shop), payment on account (delivery note) is not possible! Invoices are sent in PDF format via e-mail!

7. Right of retention and withdrawal
Before full payment of all due invoice amounts, including default interest and collection charges, we are not obliged to any further performance. If, after conclusion of the contract, we become aware that the buyer is in unfavorable financial circumstances, we are entitled to demand advance payment for all outstanding deliveries or, subject to our claims for damages, to withdraw from the contract and to immediately demand all our claims.

8. Retention of title
We reserve the property of the delivered goods, even in the case of processing and / or connection with other objects, until the full purchase price payment. In addition, we shall be entitled to demand the provision of our goods until the complete settlement of all our claims arising from the business relationship with the buyer. The Buyer is revocably entitled to resell the delivered goods within the scope of his normal business. The purchaser hereby assigns to us the resulting claims against its customers, and we accept this assignment. However, the buyer is also entitled to confiscation after assignment in the ordinary course of business. We may require that the buyer notifies us of the assigned claims and their debtors, provides all information necessary for collection, hands over the related documents and notifies the debtor of the assignment. We are also entitled to disclose the assignment if this appears necessary to secure our claims. The buyer is not authorized to make other dispositions of the reserved goods, in particular pledges and assignments of security. He must immediately notify us of any impairment of the rights to the objects in our ownership. If the seller defaults on payments to us or if he violates an obligation arising from the retention of title, we are entitled at any time to demand the return of the goods and to collect them.

9. Warranty and liability
Our delivery is to be checked immediately upon receipt, any complaints are to be raised immediately in writing. Minor deviations from the order do not justify a complaint. Within 12 months of passing of the risk, we guarantee the proper functioning of the devices sold by us. To rectify recognized defects, we will at our option

a) rectify the defective goods on the spot,
b) have the defective goods or defective parts returned for improvement,
c) replace the defective goods,
d) replace the defective parts.

An extension of the warranty period does not occur because of a correction of defects. The risk for transport on the occasion of the correction of defects shall be borne by the buyer. Further claims of the purchaser, in particular claims for compensation for damages that have not arisen on the delivery item itself, are excluded except in cases of gross negligence. We are not liable for damages caused by slightly negligent behavior.

10. Damage in transit
If goods are delivered with obvious damage to the packaging or the contents, the customer must, without prejudice to his warranty rights, complain to the carrier/freight service immediately and contact the seller immediately by email so that they can protect any rights against the carrier/freight service can.

11. Online Shop
When shopping in the online shop, the customer makes a binding order via the intended ordering system by selecting the type and quantity of the goods and services specified therein. The order constitutes an offer to the seller to conclude a purchase contract. Representations and price awards in the online shop by the seller are not an offer in the legal sense dar. If the customer places an order in the online store, he will receive an e-mail, a letter or a fax confirming the receipt of his order and detailing it (order confirmation). By the order confirmation comes the purchase contract. Otherwise the contract text can not be viewed after the order. The customer is therefore requested to save the contract text. Orders placed via our shop are automatically sent by parcel service or forwarding agency! (Pickup is not possible!)

12. Liability for links
Our offer contains links to external websites of third parties on whose contents we have no influence. Therefore, we can not assume any liability for these external contents. The respective provider or operator of the pages is always responsible for the contents of the linked pages. The linked pages were checked for possible legal violations at the time of linking. Illegal content was not recognizable at the time of linking.
However, a permanent content control of the linked pages is not reasonable without concrete evidence of an infringement. Upon notification of violations, we will remove such links immediately.

13.copyright
The content and works created by the site operators (including in particular images, graphics, texts and structure) on these pages are subject to German copyright law. The reproduction, processing, distribution and any kind of exploitation outside the limits of copyright require the written consent of the respective author or creator. Downloads and copies of this site are for private, non-commercial use only.
As far as the contents on this side were not created by the operator, the copyrights of third parties are considered. In particular contents of third parties are marked as such. If you should still be aware of a copyright infringement, we ask for a note. Upon notification of violations, we will remove such content immediately. All mentioned brand names are property of the respective trademark holders.

14. Place of Performance, Jurisdiction, Applicable Law
Place of performance for delivery and payment as well as place of jurisdiction is the seat of our company. However, we are also entitled to bring an action before the court having jurisdiction over the Buyer's domicile. Without exception, Austrian law applies.

15. Return of goods
Goods can be returned within 10 working days in their original packaging and sent back at your own expense.
A restocking fee of
. usually 15% of the net value of the goods
. Electrical components 20% of the net value of the goods
. Original parts (OT-.... article) min.30% of the net value of the goods
calculated. Special items or customer-specific items are excluded from return.
Opened packaging units or cuts are excluded from a credit. The goods must be returned in the original packaging or discussed with us beforehand. Returns must always be made free of charge!

16. Final provision
These delivery and sales conditions remain binding in case of ineffectiveness of single points in all other parts. If necessary, the ineffective provision shall be replaced by a provision which is as similar as possible to the economic result.
